Please be advised that on May 22, 2026, Compass Health Brands Corp.; Roscoe Medical, Inc.; Roscoe Acquisition Sub, LLC; Apex Medical Corporation; Compass Richmar, LLC; CRX Acquisition Corp.; and Garden City Medical, Inc. (“Assignors”) each made a General Assignment for the Benefit of Creditors in accordance with California law.
Compass Health Brands AFBC, LLC; Roscoe Medical AFBC, LLC; Roscoe Acquisition Sub AFBC, LLC; Apex Medical AFBC, LLC; Compass Richmar AFBC, LLC; CRX Acquisition AFBC, LLC; and Garden City Medical AFBC, LLC have been appointed as the Assignees for the Benefit of Creditors for Assignors. The assignments were made in accordance with the provisions of California Civil Code §493.010, et seq. At the time of the assignments, the Assignors were located at and maintained their corporate offices at 6753 Engle Road, Middleburg Heights, OH 44130.
The Assignors were experiencing declining top line sales from fiscal 2022 to fiscal 2025. As a result of the declining sales, the Assignors were generating liabilities at a greater rate than they were generating assets. In the second half of fiscal 2025, the Assignors commenced a sale process for the business.
The Senior Secured Creditor, who held a valid and perfected priority liens on, and security interests in, substantially all of the Assignor’s assets (“Collateral”), elected to exercise its right to sell substantially all of the Collateral in a private sale pursuant to Article 9 of the UCC (the “Article 9 Sale”) effective as of February 9, 2026.
An assignment for the benefit of creditors is a business liquidation device available to an insolvent debtor as an alternative to formal bankruptcy proceedings. Unlike Federal bankruptcy proceedings, assignments for the benefit of creditors are governed by State law. An assignee serves in the capacity that is analogous to a bankruptcy trustee and is responsible for liquidating the assets of the assignment estate and distributing the net proceeds, if any, to the assignor’s creditors. At this time, I believe that very few, if any, funds will be available for distribution to unsecured creditors of the Assignors.
I have reviewed the records of the Assignors and a list of their assets, as well as documentation regarding the Article 9 Sale and the claims of the Senior Secured Creditor. I intend to monetize the remaining assets on commercially reasonable terms as I determine in my business judgment.
