FINAL LETTER TO ALL CREDITORS - UPDATED JUNE 4, 2026

 

CASE INFO

Please be advised that on May 28, 2025, Roselle Liquidation, LLC (f/k/a Jon-Don, LLC), JD Intermediate Holdings, LLC, JD Intermediate Parent, LLC, JD Parent Holdings, LLC, and FCE Liquidation, LLC (f/k/a Factory Cleaning Equipment by JonDon, LLC)  (“Assignors”) each made a General Assignment for the Benefit of Creditors in accordance with California law. 

Roselle Liquidation AFBC, LLC, JD Intermediate Holdings AFBC, LLC, JD Intermediate Parent AFBC, LLC, JD Parent Holdings AFBC, LLC, and FCE Liquidation AFBC, LLC have been appointed as the Assignees for the Benefit of Creditors for Assignors.  The assignments were made in accordance with the provisions of California Civil Code §493.010, et seq.  At the time of the assignments,  the Assignors were operating at and maintained its corporate offices at 400 Medinah Road, Roselle, IL 60172. 

The Assignors were experiencing declining top line sales and declining gross profit percentages across late 2024 and into Q1 of 2025.  Therefore, the Assignors engaged in discussions with its first lien holder regarding the terms of a potential restructuring transaction in early 2025. The Assignors and first lien holder eventually were unable to come to terms on a restructuring plan.

In early April, the Assignors received a letter of intent from Aramsco, Inc. (“Aramsco”) which proposed to acquire substantially all of the assets of the Assignors, subject to due diligence.   After due diligence, Aramsco revised its offer to only acquire certain assets of the Jon-Don business and this transaction was completed on May 9, 2025.

 

In early May, the Assignors received a letter of intent to acquire certain assets of the Factory Cleaning Equipment business from an individual.  This transaction was completed on May 16, 2025.  The Assignors thereafter executed the assignments on May 28, 2025.

 

An assignment for the benefit of creditors is a business liquidation device available to an insolvent debtor as an alternative to formal bankruptcy proceedings.  Unlike Federal bankruptcy proceedings, assignments for the benefit of creditors are governed by State law.  An assignee serves in the capacity that is analogous to a bankruptcy trustee and is responsible for liquidating the assets of the assignment estate and distributing the net proceeds, if any, to the assignor’s creditors.  At this time, I believe that very few funds will be available for distribution to unsecured creditors of Assignors. 

 

The assignee has visited Assignors business premises and inspected their assets.  The assignee intends to sell the remaining assets on commercially reasonable terms as determined by its business judgment.
