In October 2025, the Nevada Financial Institutions Division (the “FID”), through Commissioner Sandy O’Laughlin, commenced an enforcement action against Elemental Financial Technologies Inc. (formerly Fortress Blockchain Technologies Inc.) and Fortress Trust, LLC (collectively, the “Respondents”) in the District Court for Clark County, Nevada, Case No. A-25-931440-B. The FID alleged that the Respondents were operating in an unsafe or unsound manner and/or in violation of Nevada financial regulations, thereby posing a risk to customers, client assets, and the public. The petition sought the appointment of a receiver, injunctive relief, and other remedies to take control of the Respondents’ operations and preserve assets.
On November 7, 2025, the Eighth Judicial District Court, Clark County, Nevada entered an Order Granting Petition for Appointment of Receiver and Other Permanent Relief (the "Receivership Order") in Case No. A-25-931440-B, appointing John Guedry as Receiver over the assets of Elemental Financial Technologies, Inc. (f/k/a Fortress Blockchain Technologies, Inc.), Fortress Trust, LLC, and their affiliated and subsidiary entities (collectively, the "Receivership Entities"), thereby creating the Elemental/Fortress Receivership Estate. The Receivership Order was entered pursuant to, among other authorities, NRS 669.2846, and vests the Court with exclusive jurisdiction over the Receivership Entities' assets. Mr. Guedry, with the assistance of counsel, has taken possession and/or control of the Receivership Entities' known assets and is administering the estate under the supervision of the Court. The Receiver is establishing a centralized claims administration process, and all creditors must submit a Proof of Claim in accordance with the Court-approved procedures prior to the applicable bar date.
